PROMOTIONAL LICENSE AGREEMENT

(a) Subject to and expressly conditioned upon compliance with the terms and conditions of this Promotional License Agreement, SureCheck Aviation, Inc. (SureCheck) hereby grants to Licensee a worldwide, nonexclusive, nontransferable, royalty-free, personal right to use the  promotional materials contained herein solely for the purpose of marketing and selling SureCheck products and as may be prescribed by SureCheck from time to time.

(b) Licensee may not use or reproduce the SureCheck logo in any manner whatsoever other than as contained in the unaltered contents of this site without the express permission of SureCheck.

(c) Licensee agrees and acknowledges that SureCheck retains all right, title and interest in and to the logo, attached promotional materials, and the SureCheck trademarks. Except as expressly granted in this Promotional License Agreement, Licensee shall have no rights in the logo. Under no circumstances will anything in this Promotioanl License Agreement be construed as granting, by implication, estoppel or otherwise, a license to any SureCheck technology or proprietary right other than the permitted use of the attached promotional materials pursuant to Section (a).

(d) Licensee represents and warrants that it will use the attached promotional materials solely as provided in this Promotional License Agreement and will not use the attached promotional materials for promotional goods or for products which, in SureCheck's reasonable judgment, will diminish or otherwise damage SureCheck's reuptation or goodwill, including but not limited to uses which could be deemed to be obscene, pornographic, excessively violent or otherwise in poor taste or unlawful, or which purpose or objective is to encourage unlawful activities.
